If you are using this service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Definitions

• “Platform” means this online platform and any associated services that we provide through our site.

• “Strategies” means algorithmic trading strategies created by us, configured for you, or otherwise made available through the Platform.

4. Use of the Service

• You will not interfere with, disrupt, or attempt to gain unauthorized access to the Platform.
• You will not use automated means to scrape, copy, or extract content or data from the Platform, except as expressly permitted by us.
• You will not reverse engineer, decompile, or otherwise attempt to discover the source code, underlying ideas, or structure of the Platform or AI Models, except to the extent such restrictions are prohibited by law.
• You will not use the Platform to violate any applicable trading, securities, commodities, or market conduct rules.

5. No Investment Advice; Market Risk

The Platform and any related content, analytics, signals, or strategy outputs are provided for informational and operational purposes related to trading workflows. Nothing on this service constitutes investment advice, financial advice, trading advice, or a recommendation to buy or sell any security, commodity, or derivative.

Trading and investing in financial markets involves substantial risk, including the risk of loss of principal. Strategies and AI Models may perform differently than expected and may generate losses. You are solely responsible for evaluating whether any Strategy, signal, or analysis is suitable for your objectives, risk tolerance, and regulatory requirements.

6. AI-Generated Outputs; Uncertainty

AI Models may generate signals, forecasts, and strategy parameters. These outputs are probabilistic and may be affected by market conditions, data quality, latency, execution constraints, and model limitations.

• We do not guarantee that AI Models will be accurate, complete, or timely.
• We do not guarantee that automated trade execution will achieve any particular result.
• You acknowledge that markets can move rapidly and unpredictably, including events not reflected in historical data.

7. Market Data

Market Data displayed or used by the Platform may be provided under licenses or arrangements with third parties and may be delayed, incomplete, or subject to errors. Any Market Data is provided “as available” and is not guaranteed.

You are responsible for verifying and validating Market Data where required for your operational, compliance, and risk processes.

8. Automated Trade Execution

If you enable Automated Trading through the Platform, you authorize the system to submit orders as configured under your settings and the selected Strategies. Automated trading carries heightened operational and execution risk.

You agree to maintain appropriate supervisory controls, including monitoring, risk limits, and procedures designed to detect abnormal or undesired behavior. We may provide guidance or tools for risk management, but you remain responsible for ensuring appropriate oversight and compliance with applicable requirements.

• Execution may be affected by market conditions, liquidity, order routing limitations, exchange and venue constraints, and system latency.
• We are not responsible for losses arising from execution delays, partial fills, rejected orders, or limitations imposed by trading venues or counterparties.
• You should implement safeguards and test configurations before enabling live trading.

9. Risk Management Solutions

Risk management tools or settings available through this service are designed to support risk-related operations. However, we do not guarantee risk outcomes, drawdown controls, or loss mitigation. Your risk policies, position limits, and compliance requirements must be configured and enforced by you.

10. Fees; Billing; Changes

Fees, payment terms, and any subscription or usage details (if applicable) are provided separately in a proposal, order form, or other agreement. If no such document applies, fees may be communicated to you in advance and are subject to applicable taxes and payment processing terms.

12. Your Content and Data

To the extent you provide configurations, strategy parameters, trading preferences, or other materials (“Your Inputs”), you retain ownership of Your Inputs, subject to the limited rights required for us to provide the Platform.

You represent that you have all rights necessary to provide Your Inputs and that Your Inputs do not infringe any third-party rights.

You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and store Your Inputs for the purpose of operating, maintaining, improving, and providing the Platform and related services, including automated trading execution as authorized by you.

13. Confidentiality

If a separate confidentiality agreement is in place between you and us, that agreement controls. Otherwise, you agree to protect as confidential any non-public information disclosed by us, including AI Model descriptions, strategy logic, system performance metrics, security practices, and other proprietary information.

You agree not to disclose such information to third parties without our prior written consent, except as required by law or with the involvement of professional advisers under confidentiality obligations.

14. Third-Party Services and Links

The Platform may reference or integrate with third-party systems, data providers, exchanges, brokers, or other services. We do not control third-party services and are not responsible for their availability, content, accuracy, security, or conduct.

Your use of third-party services is subject to the applicable third-party terms and policies.

15. Availability; System Performance

We work to maintain the Platform, but availability and performance may be impacted by scheduled maintenance, upgrades, network issues, exchange outages, or other events beyond our reasonable control.

To the extent permitted by law, we do not guarantee uninterrupted or error-free operation.

16. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, AI MODELS, STRATEGIES, MARKET DATA, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Platform will meet your requirements, that outputs will be accurate or reliable, that results will be profitable, or that defects will be corrected.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR ANY AUTOMATED TRADING FUNCTIONALITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR ACCESS TO THE PLATFORM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so the above limitations may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:

• your authorization or enablement of Automated Trading, including actions taken based on configured settings;
• your violation of any third-party rights or applicable regulatory requirements.

19. Termination

We may suspend or terminate your access to the Platform at any time if we believe you have violated these Terms, created risk to the Platform or other users, or engaged in conduct inconsistent with our policies or applicable law.

Upon termination, your right to use the Platform ends. Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and confidentiality will survive termination as applicable.

20. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our site, and your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

21. Compliance with Laws

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. To the extent permitted by law, any dispute arising out of or relating to these Terms or the Platform will be brought in the state or federal courts located in New York County, New York, and you consent to such jurisdiction and venue.

25. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

26. Entire Agreement

These Terms, together with any separately agreed order forms, proposals, subscription documents, or confidentiality agreements, constitute the entire agreement between you and us regarding your use of this service and related subject matter.
